This Club Partnership Agreement ("Agreement") is entered into between SponsorLink.au ("Platform") and the participating sporting club or community organization ("Club"). By joining the Platform, the Club agrees to the following terms:
1.1. When a Club member shows their SponsorLink card at a participating Business Partner, the member's discount is split between the member and the Club. Each member chooses their split from the options shown in the SponsorLink app (for example 50/50).
1.2. The Club appoints SponsorLink.au as its limited agent for the sole purpose of collecting, holding and passing on the Club's share of those sales (the "member-spend share"). SponsorLink adds member-spend shares to each Business Partner's monthly SponsorLink bill and collects them with that bill. Member-spend shares are the Club's money, not SponsorLink's revenue.
1.3. Once a Business Partner's bill has been paid and the funds have cleared, SponsorLink transfers the Club's member-spend shares in full to the Club's connected Stripe account, usually within a few days. SponsorLink pays the payment gateway (Stripe) fees on these amounts; nothing is deducted from the Club's share.
1.4. When a business the Club referred subscribes, SponsorLink pays the Club the referral amounts published on the SponsorLink website: a one-off amount and, on paid plans, a monthly amount ($3 a month for Growth and $7 a month for Pro at the date of this Agreement). Referral payments are SponsorLink's own payments to the Club. They are made on or around the 3rd of each month, with no fees deducted.
1.5. If the Club has not connected a Stripe account, or a payment cannot be made, SponsorLink holds the amount and pays it as soon as the Club can be paid. There is no minimum payout amount.
1.6. If the Club is permanently dissolved, amounts SponsorLink holds for it, and any shares that arise afterwards, are allocated to the SponsorLink Community Pool, which SponsorLink manages internally to support grassroots clubs.
1.7. The Club will give SponsorLink its ABN, if it has one, and keep it up to date in its club profile. If the law requires SponsorLink to withhold tax from a payment because no ABN has been quoted, SponsorLink will withhold that amount and pay it to the Australian Taxation Office, and the payment to the Club is reduced by the same amount.
2.1. The Club agrees to embed the SponsorLink SEO Directory Widget on their official club website (e.g., a "Our Sponsors" page).
2.2. The widget must remain active and unmodified. Removal of the widget will result in a suspension of the Club's ability to generate revenue from the network, as this is a core deliverable to the Business Partners.
3.1. SponsorLink.au complies fully with the Australian Privacy Principles (APPs).
3.2. The Club retains ownership of its member list. SponsorLink will only contact members regarding their digital wallet pass, transaction receipts, and direct geofenced marketing explicitly related to the SponsorLink network.
4.1. This Agreement operates on a month-to-month basis.
4.2. Either party may end this Agreement with 30 days' written notice.
4.3. When this Agreement ends, SponsorLink pays the Club everything it is owed under clause 1 before closing the Club's account: member-spend shares from sales made before the end date (once the Business Partner has paid them) and referral payments earned before the end date. After the end date the Club earns no new shares; later sales by its former members (unless they choose another club) and later referral amounts for businesses it referred go to the SponsorLink Community Pool.
